Terms of Service

1. Agreement

By creating an account or using Live Layer, you agree to these Terms. If you’re using Live Layer on behalf of a company, you’re agreeing on its behalf and confirming you have the authority to do so.

2. Your account

• Keep your credentials safe. You’re responsible for what happens under your account.
• Give us accurate info at signup and keep it updated.
• You must be at least 16 years old to use Live Layer.

3. Acceptable use

You can’t use Live Layer to:

• Impersonate a real person without their written consent
• Generate deepfakes intended to deceive, defraud, or harm
• Violate anyone’s privacy, IP, or publicity rights
• Run spam, scams, phishing, or harassment campaigns
• Produce content that’s illegal where you or your users live
• Reverse-engineer, resell, or sublicense the platform itself
• Abuse our infrastructure (e.g., automated scraping, excessive API calls beyond your plan)

4. Your content

You own everything you upload: photos, voice recordings, knowledge documents, prompts, workflows. By uploading, you grant us a limited license to process that content solely to provide the service to you. We don’t train on it, sell it, or share it for marketing.

5. Avatar likeness & voice rights

This is the most important section. When you upload a headshot or a voice recording, you’re asserting:

• The person depicted has given explicit permission for this use
• You’re not creating a likeness or voice clone of a public figure, celebrity, or anyone without consent
• You’ll remove an avatar or voice clone immediately if consent is withdrawn

If someone reports a non-consensual avatar to us, we will suspend it while we investigate. If we confirm the violation, we’ll remove it permanently and may terminate your account.

6. Billing

• Paid plans auto-renew monthly or annually at the listed rate.
• Overages are billed per the rate posted at pricing time.
• All fees are non-refundable except where required by law.
• You can cancel anytime from your dashboard; access continues through the end of your billing period.
• If payment fails, we’ll retry and notify you. Sustained failure may result in suspension.

7. Service availability

We aim for high uptime but don’t promise 100%. Enterprise plans include an SLA. Scheduled maintenance will be announced in advance when possible.

8. Termination

You can close your account anytime. We can suspend or terminate your account if you violate these Terms, with notice unless the violation requires immediate action (fraud, abuse, court order, etc.). After termination, we retain your data for 30 days in case you want it back, then delete it permanently.

9. Disclaimers

Live Layer is provided “as is.” AI-generated content can be wrong, biased, or inappropriate. You’re responsible for reviewing output before exposing it to your customers, especially in regulated domains (health, legal, finance). We disclaim implied warranties of merchantability, fitness, and non-infringement to the extent allowed by law.

10. Limitation of liability

To the extent allowed by law, our total liability to you for any claim is limited to the amount you paid us in the 12 months before the claim arose. We’re not liable for indirect, consequential, or punitive damages.

11. Indemnification

You agree to indemnify us against third-party claims arising from content you upload, agents you deploy, or your violation of these Terms, particularly around avatar likeness and voice consent.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes are resolved in the state or federal courts of Delaware.

13. Changes

We’ll update these Terms when we need to. Material changes get email notice 30 days ahead of time. Continued use after the effective date means you accept the new Terms.
